Acceptance of Terms

By purchasing, subscribing to, accessing, or using any service provided by TGS Marketing LLC (“TGS Marketing,” “Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions.

Services

  • TGS Marketing provides marketing, branding, website design, CRM setup, automation, advertising management, social media services, content creation, consulting, and related business support services.
  • Specific deliverables, pricing, and scope are outlined in the Client’s selected package, proposal, invoice, agreement, or service page.

Client Responsibilities

  • The Client agrees to provide accurate information, requested content, account access, approvals, and communication necessary to complete services.
  • Delays caused by missing information, lack of communication, or incomplete submissions may affect timelines and deliverables.

Payments and Billing

  • All services are billed according to the selected package or agreement.
  • Monthly subscriptions automatically renew unless canceled in accordance with the applicable agreement.
  • Failure to maintain a valid payment method may result in suspension or termination of services.

No Refunds

  • All payments made to TGS Marketing are final and non-refundable.
  • This includes setup fees, monthly service fees, website fees, CRM fees, advertising management fees, consulting fees, design fees, content creation fees, deposits, retainers, and any other service-related charges.

Project Timelines

  • Project timelines are estimates only and are not guarantees.
  • Delays caused by content submission, approvals, third-party platforms, compliance requirements, technical issues, or Client communication may affect delivery timelines.

Website Services

  • The Client is responsible for providing website content, business information, legal policies, domain access, and approvals.
  • TGS Marketing is not responsible for delays caused by missing content, domain issues, DNS issues, expired domains, hosting issues, or Client-controlled access restrictions.

Social Media and Advertising Services

  • Marketing, advertising, and social media services are provided according to the selected package.
  • TGS Marketing does not guarantee leads, appointments, booked jobs, followers, engagement, sales, revenue, return on ad spend, rankings, traffic, or business growth.
  • Advertising platforms maintain full control over campaign approvals, delivery, costs, restrictions, and performance.

CRM, Email, SMS, and A2P Compliance

  • Clients are responsible for obtaining proper consent, maintaining accurate contact information, and complying with all applicable messaging and marketing laws.
  • TGS Marketing is not responsible for deliverability issues, spam complaints, carrier filtering, platform restrictions, compliance violations, or penalties resulting from Client actions.

Third-Party Platforms

  • TGS Marketing utilizes third-party platforms including but not limited to Google, Meta, Facebook, Instagram, Stripe, Twilio, Mailgun, domain registrars, hosting providers, and CRM integrations.
  • TGS Marketing is not responsible for outages, delays, suspensions, verification delays, policy changes, account restrictions, platform errors, or decisions made by third-party providers.

Data Ownership

  • The Client owns their contacts, uploaded content, and business information.
  • TGS Marketing retains ownership of its proprietary systems, templates, workflows, automations, frameworks, processes, methodologies, and intellectual property.

No Guarantee of Results

TGS Marketing does not guarantee any specific results, including but not limited to:

  • Leads
  • Sales
  • Revenue
  • Google rankings
  • Google Business Profile rankings
  • Website traffic
  • Call volume
  • Social media growth
  • Booked jobs
  • Return on investment

Marketing results vary based on factors outside of TGS Marketing’s control.

Client Follow-up Responsibility

  • The Client is solely responsible for answering calls, responding to leads, scheduling appointments, providing estimates, delivering services, and closing sales.
  • TGS Marketing is not responsible for business performance resulting from Client operations, staffing, pricing, communication, follow-up, or customer service.

Limitation of Liability

  • To the fullest extent permitted by law, TGS Marketing LLC, its owners, employees, contractors, affiliates, vendors, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or lost-profit damages arising from the use of its services.
  • This includes but is not limited to lost revenue, lost profits, lost leads, lost sales, missed opportunities, website downtime, advertising performance, platform decisions, account restrictions, verification delays, service interruptions, or business losses.
  • The maximum liability of TGS Marketing shall not exceed the total amount paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.

Arbitration and Attorneys’ Fees

  • The parties agree to attempt to resolve disputes through good-faith negotiations before pursuing legal action.
  • TGS Marketing may require disputes to be resolved through binding arbitration in the State of North Carolina where permitted by law.
  • The prevailing party in any dispute shall be entitled to recover reasonable attorneys’ fees, court costs, collection costs, arbitration fees, and related expenses.

Indemnification

The Client agrees to defend, indemnify, and hold harmless TGS Marketing LLC, its owners, employees, contractors, affiliates, vendors, and representatives from any claims, damages, liabilities, costs, penalties, or expenses arising from:

  • Client content
  • Client business operations
  • Client conduct
  • Advertising claims
  • Compliance violations
  • Regulatory actions
  • Third-party disputes

Chargebacks and Payment Disputes

  • Chargebacks or payment disputes may result in immediate suspension of services.
  • The Client remains responsible for any outstanding balances, collection costs, administrative fees, and legal expenses related to recovering unpaid amounts.

Account Suspension and Termination

TGS Marketing may suspend or terminate services if the Client:

  • Fails to pay invoices
  • Violates these Terms
  • Uses services unlawfully
  • Engages in spam activity
  • Harasses staff
  • Attempts to avoid payment obligations
  • Uses services for fraudulent purposes

Termination does not eliminate outstanding payment obligations.

Support and Communication

  • Official support requests must be submitted through approved support channels.
  • Messages sent through social media, comments, direct messages, or personal phone numbers are not considered official support requests.

Governing Law

  • These Terms and Conditions shall be governed by the laws of the State of North Carolina.
  • Any dispute arising from these Terms shall be resolved in North Carolina.

Changes to These Terms

  • TGS Marketing reserves the right to update these Terms and Conditions at any time.
  • Continued use of services constitutes acceptance of any updated Terms.
