Sales Consultant Agreement

This Sales Consultant Agreement (“Agreement”) governs Your application for, and any subsequent participation in, TGSM Solutions, a division of TGS Marketing LLC, Sales Consultant Program. By clicking “I Accept the Terms and Conditions” and submitting, You thereby accept the terms of this Agreement. You indicate that You have read and understood this Agreement and agree that You are bound by its terms.

SECTION 1 - PARTIES

All references to “TGSM Solutions” herein mean and refer to TGSM Solutions, a division of TGS Marketing LLC, a North Carolina Limited Liability Company. All references to “You” and “Your” mean and refer to the person or entity who has executed this Agreement. TGSM Solutions and You are each referred to herein as a “Party,” and collectively as the “Parties.” You agree to notify us in writing if the legal name of your business or account ownership changes within twenty-four (24) hours of such change, and You certify that all such information is truthful and accurate. Notice of such changes should be sent to [email protected].

SECTION 2 - APPLICATION

You agree to provide all information requested by TGSM Solutions in connection with Your Sales Consultant application and/or Your continued participation as a TGSM Solutions Sales Consultant. You affirm that all information You provide is truthful, accurate, and complete (without material omission). TGSM Solutions retains sole and exclusive discretion to determine whether You qualify for participation in the TGSM Solutions Sales Consultant Program. Not everyone who applies for the Sales Consultant Program will qualify to participate.

SECTION 3 - CONSENT TO BE CONTACTED

You expressly consent to be contacted at the email address and the phone number You provide in Your application about Your application and the Sales Consultant Program, including through automated dialing systems, texts, and artificial or pre-recorded messages, whether by TGSM Solutions or a third party on behalf of TGSM Solutions. This consent is a material condition of this Agreement and may not be revoked except in writing by both Parties. You further agree that any other method of opting out is not a reasonable means of opting out.

SECTION 4 - COMPENSATION

If Your application to become a Sales Consultant is approved by TGSM Solutions, You will receive a unique Sales Consultant ID. The Sales Consultant ID will be incorporated within each URL which You will use to advertise TGSM Solutions and its products. You will have the opportunity to receive a commission for each sale (“Sale”) that is registered using Your Sales Consultant ID. In the event that a prospect (“Prospect”) has multiple Sales Consultant cookies (“Cookies”), the most recently acquired Cookie will determine which Sales Consultant is credited with a Sale. However, once a Sale has been associated with a Sales Consultant ID, that Sale cannot be attributed to another Sales Consultant ID for at least six (6) months from the date of the Sale. TGSM Solutions shall have the sole and exclusive authority to deny and/or revoke a commission or commissions based on sales consultant-hopping or other actions that create multiple commissions for one true transaction, which shall be determined at the sole discretion of TGSM Solutions.Provided that the Sold Account (as defined below) remains in good standing within forty-five (45) days from the Sale, You will be paid a commission for each Sold Account that generates a payment to TGSM Solutions in a month (“Commission”). Commission payments will be paid on the 15th of each month following TGSM Solutions’ receipt of payment for a Sold Account, subject to the other terms of this Agreement. If the 15th of each month falls on a holiday, Commission payments will be paid on the business day preceding the holiday. All Commission payments are based on the amount of fees received by TGSM Solutions, less sales taxes.

The amount of Commissions for promoting TGSM Solutions are as follows: (a) General Sales Consultant: 20% commission on Level 1 for TGS Marketing services. (b) Qualified Sales Consultant: 40% commission on Level 1, 10% commission on Level 2, and 5% commission on Level 3 for software and recurring services. Approval into the TGSM Solutions Sales Consultant Program grants you access to promote TGSM Solutions. Sales Consultants without an active subscription are eligible to receive a 20% commission on sales linked to their Sales Consultant ID. To achieve "Qualified Sales Consultant" status and access higher commissions and enhanced benefits, you must maintain an active subscription with TGSM Solutions. The determination of whether a Sales Consultant meets the criteria to be considered a “Qualified Sales Consultant” is at the sole and exclusive discretion of TGSM Solutions.

SECTION 5 - SALES CONSULTANT ACTIVITY REQUIREMENTS

To maintain active status as a TGSM Solutions Sales Consultant and remain eligible for recurring commissions, Sales Consultants must meet the following criteria:

Minimum Sales Requirement: Sales Consultants must close at least one (1) Sold Account per calendar month to be considered active.

Monthly Engagement: Sales Consultants must actively engage in the TGSM Solutions private community.

Failure to meet the above requirements for two (2) consecutive months will result in a downgrade to inactive status, loss of access to sales tools, and commission eligibility. To regain active status, the Sales Consultant must pay a $150 reactivation fee.

SECTION 6 - PROMOTIONAL GUIDELINES

As a participant in the TGSM Solutions Sales Consultant Program, You agree to comply with the following promotional guidelines when promoting TGSM Solutions’ products or services: (a) You may not engage in any deceptive, misleading, or unethical marketing practices when promoting TGSM Solutions’ products or services. (b) You may not use any false or misleading statements, testimonials, or endorsements in Your promotional materials. (c) You may not make any claims about TGSM Solutions’ products or services that are not supported by credible evidence. (d) You may not use any trademarked or copyrighted materials belonging to TGSM Solutions without express written permission. (e) You may not engage in any activities that could damage the reputation or goodwill of TGSM Solutions or its products or services. (f) You may not promote TGSM Solutions’ products or services on websites, social media profiles, or other platforms that contain objectionable or offensive content. (g) You may not engage in any illegal or prohibited activities when promoting TGSM Solutions’ products or services.

SECTION 7 - ACKNOWLEDGEMENT

By accepting this Agreement, You acknowledge that You have read, understand, and agree to be bound by all the terms, conditions, and provisions herein. This Agreement constitutes the entire agreement between You and TGSM Solutions regarding the Sales Consultant Program.
